Kaveri Seed Company Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 14, 2013, inter alia, have approved the Sub Division of Equity Shares of nominal value of Rs. 10/- each into 5 (Five) Equity Shares of nominal value of Rs. 2/- each fully paid-up and consequently to amend the Capital Clause of Memorandum and Articles of Association of the Company under the provisions of Companies Act, 1956 and subject to the approval of members.Further, the Board has recommended that the necessary approval from the shareholders be obtained for the above said sub-division of nominal value of equity shares, through Postal Ballot as per the provisions of Section 192A of the Companies, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001.Source : BSE
